These Terms of Service (“Terms”) govern your access to and use of the website located at https://deutrix.care (the “Website”) and any services provided by Deutrix Ltd (“Deutrix”, “we”, “us”), including maintenance plans, support, and professional services (collectively, the “Services”).
By accessing the Website or using any Services, you agree to be bound by these Terms and to comply with applicable laws and regulations. If you do not agree, you must not use the Website or Services.
Order of precedence. If you purchase Services, the specific terms in your order form, proposal, statement of work, subscription plan description, or written agreement with us (each an “Agreement”) will apply to your Services and will prevail over these Terms to the extent of any conflict. These Terms apply to the Website and generally to the Services where an Agreement does not address an issue.
We may update these Terms from time to time by publishing an updated version on this page and changing the “Last updated” date. Changes take effect on publication for Website use. For ongoing paid Services, changes will be effective from the earlier of (i) your continued use after publication or (ii) 30 days after publication, unless a change is required sooner by law.

Limitations of Use
By using the Website or Services, you agree you will not (and will not allow others to):
- copy, reproduce, republish, sell, lease, or exploit the Website’s content except as expressly permitted by these Terms or by written permission from Deutrix;
- modify, decompile, reverse engineer, or attempt to derive source code from the Website or any Deutrix-provided software or materials (except to the extent such restriction is prohibited by law);
- remove or alter copyright, trademark, or other proprietary notices;
- mirror or frame the Website on any other server or service without our written permission;
- use the Website or Services in a way that abuses, disrupts, damages, or interferes with our networks, systems, or other customers’ use;
- use the Website or Services to transmit or publish unlawful, fraudulent, harassing, defamatory, or otherwise harmful material;
- use the Website or Services in violation of any applicable laws or regulations;
- use the Website or Services for unauthorized advertising, spam, or deceptive practices;
- harvest, collect, or gather personal data without a lawful basis and, where required, consent; or
- use the Website or Services in a way that infringes intellectual property, privacy, or other rights of any person.
Acceptable Use Policy. Your use of the Website and Services is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference.
Intellectual Property
All intellectual property rights in the Website, its design, text, graphics, logos, and materials are owned by or licensed to Deutrix and are protected by applicable laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for your internal business purposes.
No license is granted to you except as expressly stated in these Terms. This license terminates automatically if you breach these Terms.
Client Materials and Deliverables (Services)
Client materials. You retain ownership of content, data, and materials you provide to us (“Client Materials”). You grant Deutrix a limited license to use Client Materials solely to provide the Services and perform our obligations under the Agreement.
Deliverables. Unless otherwise agreed in writing, you own the deliverables we specifically create for you as part of the Services (excluding any Deutrix pre-existing materials, templates, internal tools, and know-how). Deutrix retains ownership of its pre-existing materials, methods, and reusable components.
Third-party materials. Your use of third-party software, themes, plugins, fonts, media, and services is subject to the third party’s terms and licensing. You are responsible for obtaining and maintaining any required licenses unless your Agreement states otherwise.
User-Generated Content
If you submit content to us for publication on our Website or social channels (e.g., reviews, testimonials, images, video), you retain ownership of your content. You grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and publish that content for marketing and promotional purposes. You can withdraw this license for future use by contacting us or requesting removal, but it may take reasonable time to remove from distributed channels (e.g., cached pages or social media reposts).
Services, Payments, and Suspension
If you purchase Services, fees, billing schedules, and scope are described in your Agreement. Unless otherwise stated, fees are non-refundable except as set out in our Refund Policy or required by law.
We may suspend or restrict Services if (i) invoices are overdue, (ii) we reasonably believe there is a security risk or policy violation, or (iii) continued provision would expose Deutrix or others to harm or liability. Where feasible, we will provide notice and an opportunity to remedy, but we may act without notice in urgent situations.
Disclaimers
The Website and materials on the Website are provided on an “as is” and “as available” basis. To the extent permitted by law, Deutrix disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Deutrix does not warrant that the Website will be uninterrupted, error-free, or secure. We do not guarantee specific outcomes (including search rankings, traffic, revenue, or performance scores) unless explicitly stated in an Agreement.
Limitation of Liability
To the extent permitted by law, Deutrix will not be liable for any consequential, indirect, incidental, special, or punitive loss or damage arising out of or relating to your use of the Website or Services.
In the context of these Terms, “consequential loss” includes any indirect loss, loss of profit, revenue, business, goodwill, opportunity, savings, reputation, or loss/corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.
Liability cap. To the extent permitted by law, Deutrix’s total aggregate liability for any claim arising out of or relating to the Website or Services is limited to the total fees paid by you to Deutrix in the three (3) months immediately preceding the event giving rise to the claim, or GBP 500, whichever is higher, unless your Agreement specifies a different cap.
Some jurisdictions do not allow limitations of liability in certain circumstances, so some of these limitations may not apply to you.
Indemnity
You agree to indemnify and hold harmless Deutrix and its directors, officers, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from (i) your breach of these Terms or the Acceptable Use Policy, (ii) your Client Materials, (iii) your violation of any law or third-party rights, or (iv) your misuse of the Website or Services.
Accuracy of Materials
Materials on the Website are provided for general information only and are not comprehensive. Deutrix does not warrant the accuracy, likely results, or reliability of using Website materials or any linked resources.
Links to Third-Party Sites
Deutrix has not reviewed all sites linked from the Website and is not responsible for the content or practices of linked sites. Links do not imply endorsement. Use of linked sites is at your own risk.
Termination
We may suspend or terminate your right to use the Website (and terminate these Terms) immediately upon written notice if you breach these Terms or if we reasonably believe your use poses a security, legal, or reputational risk. Termination does not affect any rights or obligations that accrued before termination.
Severance
Any provision that is wholly or partially void or unenforceable is severed to the extent necessary. The remainder remains valid and enforceable.
Force Majeure
Deutrix is not liable for any failure or delay caused by events beyond our reasonable control (including outages, third-party provider failures, cyberattacks, natural disasters, or government actions).
Governing Law
These Terms are governed by and construed in accordance with the laws of Serbia, and you submit to the exclusive jurisdiction of the courts in Serbia, unless your Agreement states otherwise.
